Special Congregational Meeting

October 21, 2007

 

 

 

The meeting was called to order at 12:43 by President Linda Stoller.

 

Opening words were given by The Rev. Millie Rochester.

 

Secretary Sue Boon announced a quorum was present.  108 members had signed in.  A quorum is 92.

 

The Bylaws Committee was introduced - Bobbie Watson, Linda Stoller, Pat McGiverin, Barbara Brandt,   ???.

 

Linda Stoller reviewed the history of the current bylaws and reasons the revision was undertaken.

 

The new Bylaws were reviewed Section by Section.  Questions and discussion were allowed.  Changes are as follows:

 

 

Article 6, Section 5.  Pegotty Cooper moved a sentence added to the end of the section to read “The proxy votes shall be considered in determining a quorum.”  Pete Pensa seconded.  66 voted for the motion, 24 voted against the motion.  Motion passed.

 

Article 14, Section 2.  Charles cook moved Section 2 read as follows:  Amendments to these Bylaws shall be effective upon approval by two-thirds (2/3) of those voting in a Congregational meeting Called for such purpose.  J. Osbourne seconded.  Much discussion followed.

 

            Jacque Clark called the question.  Earl Kendall seconded.  105 votes for, 3 opposed. Passed

 

            The vote to revise Article 14, Section 2:  92 for, 16 opposed.  Passed

 

 

Bill Newton moved the acceptance of the Bylaws as revised during the Special Congregational Meeting.  Jerry Osbourne seconded.  107 for, 1 opposed.  Passed.
